AST SpaceMobile Acquires EllioSat for $26M, Boosting Satellite Broadband Ambitions

AST SpaceMobile has finalized its acquisition of EllioSat, a significant move in the satellite broadband sector. The deal, worth $26 million, includes certain S-Band ITU priority rights for low Earth orbit use in the 1980-2010 MHz and 2170-2200 MHz frequencies.

AST SpaceMobile purchased EllioSat from CCUR Holdings by issuing 581,395 Class A shares. The transaction was completed in September 2025, with AST SpaceMobile acquiring the company before the official closing. The acquisition also includes the Ligado bankruptcy plan, which was fully confirmed by the Chapter 11 bankruptcy court, allowing AST SpaceMobile to transfer L Band use filings for North America.

Following the acquisition, AST SpaceMobile has agreed to make additional payments of $10 million on the second and third anniversaries of the closing, contingent on successful satellite launch and operation. To facilitate this, AST SpaceMobile has filed a supplemental prospectus with the SEC to register the resale of the shares issued to CCUR.

The acquisition of EllioSat by AST SpaceMobile strengthens the company's position in the satellite broadband market. With the inclusion of valuable spectrum rights and the successful transfer of Ligado's bankruptcy plan, AST SpaceMobile is well-positioned to expand its low Earth orbit satellite network. The additional payments contingent on satellite launch and operation further demonstrate AST SpaceMobile's commitment to its growth and success.
