Igniting creativity: Japan's daring new model agreement for limited partnerships
On Wednesday, October 22, 2025, a seminar on the English Model Investment Limited Partnership Agreement (LPA) will be held. This event, which is part of the Financial Services Agency's Japan Weeks 2025, will take place at White & Case Law Offices in Marunouchi Trust Tower Main, Tokyo, Japan.
The seminar is scheduled from 4:00 p.m. to 6:40 p.m. and will feature a presentation and a panel discussion. Registration for the seminar will take place from 3:30 p.m. to 4:00 p.m. The event is free of charge, but registration will close once the venue reaches its maximum capacity.
The program will begin with opening remarks from Shinichiro Shiraki, Vice Chairman of AIMA Japan. Hiroyuki Sameshima, Director of the Corporate System Division at the Ministry of Economy, Trade and Industry, will give guest remarks. The Ministry of Economy, Trade and Industry released the first-ever standardized English Model Investment LPA in June 2025, an agreement that addresses the challenges faced by fund managers using translated Japanese LPAs and aligns with global fund practices.
Session 1 will analyze the Model Investment LPA in English, with Eriko Sakata, Sayako Shiraki, and Mao Muraguchi from White & Case as speakers. The panel discussion will be moderated by Eriko Sakata and will feature Ryosuke Iinuma, Kai Ishikawa, Hiroyuki Sameshima, and Takeshi Shimizu as panelists.
Following the panel discussion, Session 2 will explain Cayman law, with James Gaden from Walkers, Hong Kong as the speaker. Session 3 will provide a perspective from tax accounting, with Hiroyuki Anan, Toshikazu None, and Daisuke Takagi from Deloitte Tohmatsu Tax Co. and Deloitte Touche Tohmatsu LLC as speakers.
